This material contains an illustrative summary of certain matters relating to the Issuer's invitation to holders of Debt Restructuring Government Bonds (Emergency Decree to Assist FIDF - Second Stage)  Fiscal Year B.E. 2555 No. 2 and all the re-opened bonds thereof - ThaiBMA Symbol LB176A (the "Source Bonds") for series of Baht denominated fixed rate bonds (the "Exchange Offer").  Full details of the Exchange Offer are set out in an exchange offer memorandum (the "Exchange Offer Memorandum") which will be available to certain eligible holders ("Eligible Holders") of the Source Bonds, and any decision in relation to the Exchange Offer and any evaluation of the Exchange Offer should be based on a full review of the Exchange Offer Memorandum.  In order to participate in the Exchange Offer you must be an Eligible Holder as set out in the Exchange Offer Memorandum. ธุรกรรมแลกเปลี่ยนพันธบัตร (Bond Switching)

การทำธุรกรรม“Bond Switching”คือ การเปิดโอกาสให้นักลงทุนสามารถนำพันธบัตรรัฐบาลที่ถือครองอยู่ หรือที่เรียกว่า “Source Bond” มาแลกเปลี่ยนเป็นพันธบัตรรัฐบาลอีกรุ่นหนึ่ง หรือที่เรียกว่า “Destination Bond” ซึ่งทั้ง Source Bond และ Destination Bondรวมถึงราคารับแลก จะเป็นไปตามที่กระทรวงการคลังกำหนด (สำนักงานบริหารหนี้สาธารณะ)

Bond Switching จึงเป็นเครื่องมือที่ช่วยในการบริหารหนี้เชิงรุกของรัฐบาลให้มีประสิทธิภาพมากยิ่งขึ้น สามารถช่วยสร้างสภาพคล่องในตลาดตราสารหนี้ โดย Source Bond มักเป็นรุ่นที่กำลังจะถึงกำหนดไถ่ถอนและมียอดคงค้างค่อนข้างสูงซึ่งจะเป็นภาระต่อการจัดหางบประมาณมาไถ่ถอนให้ครบจำนวน ส่วน Destination Bond มักเป็นรุ่นที่มีอายุคงเหลือมากกว่า Source Bond ซึ่งเมื่อเกิดการแลกแล้ว จะสามารถแบ่งเบาภาระการไถ่ถอนของ Source Bond ออกไปได้ระยะหนึ่ง

ผู้ที่เกี่ยวข้องกับการทำธุรกรรม Bond Switching จะประกอบไปด้วย 3 ส่วน ได้แก่ ผู้ออกตราสาร (ในที่นี้หมายถึงกระทรวงการคลัง โดยสำนักงานบริหารหนี้สาธารณะ) ตัวแทนในการดำเนินธุรกรรม (Arranger) และนักลงทุนหรือผู้ที่ต้องการแลกเปลี่ยนพันธบัตร

ปัจจุบัน (มิ.ย. 2559) การทำธุรกรรม Bond Switching ในประเทศไทย เกิดขึ้นมาแล้ว 2 ครั้ง ในครั้งแรกเกิดขึ้นเมื่อวันที่ 28 พฤศจิกายน 2557 ซึ่งมีธนาคารกรุงเทพ จำกัด (มหาชน) ธนาคารกสิกรไทย จำกัด (มหาชน) และธนาคารสแตนดาร์ด ชาร์เตอร์ด (ไทย) จำกัด (มหาชน) ทำหน้าที่เป็นArranger โดย Source Bond ได้แก่ LB155A และ Destination Bond ได้แก่ LB176A, LB191A, LB21DA, LBA37DAและผลของการทำธุรกรรม Bond Switchingครั้งแรกนี้ มีผู้นำ LB155A มาแลกเป็นจำนวน 76,235 ล้านบาท หรือคิดเป็น 49.97% ของยอดคงค้าง คงเหลือ LB155A สำหรับการไถ่ถอนอีกจำนวน 76,337 ล้านบาท

ในครั้งที่ 2 เกิดขึ้นเมื่อวันที่ 26มิถุนายน2558 ซึ่งมี Arranger ชุดเดิมคือ ธนาคารกรุงเทพ จำกัด (มหาชน) ธนาคารกสิกรไทย จำกัด (มหาชน) และธนาคารสแตนดาร์ด ชาร์เตอร์ด (ไทย) จำกัด (มหาชน) โดย Source Bond ได้แก่ LB15DA และ Destination Bond ได้แก่ LB183B, LB206A, LB25DA, LB296A, LBA37DA และผลของการทำธุรกรรม Bond Switching ครั้งนี้ มีผู้นำ LB15DA มาแลกเป็นจำนวน 63,960ล้านบาท หรือคิดเป็น 48.45% ของยอดคงค้าง คงเหลือ LB15DA สำหรับการไถ่ถอนอีกจำนวน 68,040ล้านบาท

ทั้งนี้ Destination Bond ทั้ง 2 ครั้งที่ผ่านมา กระทรวงการคลังโดยสำนักงานบริหารหนี้สาธารณะจะทำการออกให้ใหม่เพิ่มเติมตามรุ่นที่มีอยู่เดิม รวมถึงออกเป็นพันธบัตรรัฐบาลรุ่นใหม่ที่ยังไม่เคยออกมาก่อนด้วย

อย่างไรก็ตาม เมื่อวันที่ 22 สิงหาคม 2559 กระทรวงการคลังประกาศทำ Bond Switching ครั้งที่ 3ในวันที่ 25-26 สิงหาคม 2559และกำหนด Destination Bond ได้แก่ LB206A, LB226A, LB26DA, LBA37DA และ LB666A โดย Source Bond เป็นไปตามที่ประกาศมาก่อนหน้า ได้แก่ LB176Aซึ่งในครั้งนี้มีธนาคารกรุงเทพ จำกัด (มหาชน) ธนาคารซีไอเอ็มบี ไทย จำกัด (มหาชน) และธนาคารฮ่องกงและเซี่ยงไฮ้แบงกิ้งคอร์ปอเรชั่น จำกัด ทำหน้าที่เป็น Arranger และกำหนดวงเงินที่จะรับแลก Source Bond ไว้ที่ 56,683 ล้านบาท

ส่วนประเด็นทางด้านภาษีหัก ณ ที่จ่ายสำหรับธุรกรรม Bond Switching กรมสรรพากรคิดแยกเป็น 2 ธุรกรรม คือ การขาย Source Bond คืนให้กระทรวงการคลัง และการซื้อ Destination Bond จากกระทรวงการคลัง โดยสรุปได้ดังนี้

1. การขาย Source Bond คืน - คิดภาษีบนดอกเบี้ยค้างรับ (Accrued Interest – AI) และคิดภาษีบนส่วนต่างราคาที่หักดอกเบี้ยค้างรับ (Clean Price) ที่สูงกว่าราคาต้นทุน ตามอัตราภาษีที่กำหนด

2. การซื้อDestination Bond - คิดภาษีบนส่วนต่างของราคาที่รวมดอกเบี้ยค้างรับ (Gross Price หรือ Dirty Price)ที่ต่ำกว่าราคาหน้าตั๋ว (Par) ของ Destination Bond นั้นๆ ตามอัตราภาษีที่กำหนด
