Thai Bond Market Association (“ThaiBMA”) publishes all signs and data appearing in this section of ThaiBMA’s website as received from the issuer, the bondholders’ representative, or as disclosed to government agencies or the Stock Exchange of Thailand, provided that such data has already been made publicly available, for general informational purposes only and to facilitate users’ access to and use of the signs and information displayed on ThaiBMA’s website (“Users”). ThaiBMA does not intend to address the specific circumstances of any particular individual or entity. By accessing or using the signs and data, Users have read, understood, accepted and fully consented to this disclaimer as follows:

1. ThaiBMA is not involved in convening bondholders’ meetings, verifying that such meetings are held and that votes are cast in compliance with applicable laws, regulations, contractual provisions, and rules governing bondholders’ meetings, or in certifying the resolutions of the meeting.

2. ThaiBMA posts the signs on the bonds solely to indicate significant events related to the bonds. Some signs may serve as a ‘temporary alert’ to inform investors of events that causes, or is likely to cause, a significant effect on the issuer’s ability to repay debt or comply with the terms and conditions of the bonds. Such signs are temporarily posted for a period specified by ThaiBMA before being removed. The removal of a sign does not mean that the issuer has resolved the event or that the event has concluded. Investors should therefore continue to follow updates from the issuer or announcements from the Securities and Exchange Commission (SEC).

3. The signs and data appearing on this part of ThaiBMA’s website do not constitute, and shall not be construed as, any form of specific advice or recommendation, and shall not be relied upon in lieu of appropriate professional advice, whether legal, financial, tax, accounting or any other respect. The Users are recommended to exercise their own skill and judgment when considering investment decisions or taking action based on the signs or data provided and seek appropriate professional advice before making any specific or other decisions.

4. ThaiBMA makes no representation and warranty that the use, distribution or disclosure of the information displayed on this part of ThaiBMA’s website, either entirely or partially, shall not infringe intellectual property rights or other rights of any persons, including the obligations to maintain confidentiality of the information, whereby Users shall waive all rights to claim for damages arising out of such infringement from ThaiBMA.

สมาคมตลาดตราสารหนี้ไทย (“สมาคม”) จัดทำและเผยแพร่เครื่องหมายและข้อมูลทั้งหมดที่ปรากฏในส่วนนี้ของเว็บไซต์สมาคม ตามที่ได้รับแจ้งจากผู้ออกตราสารหนี้ ผู้แทนผู้ถือหุ้นกู้ หรือมีการเปิดเผยข้อมูลต่อหน่วยงานของรัฐ หรือตลาดหลักทรัพย์แห่งประเทศไทย ซึ่งมีการเผยแพร่ข้อมูลต่อสาธารณชนเป็นการทั่วไปแล้ว โดยมีวัตถุประสงค์เพื่อเผยแพร่ข้อมูล เท่านั้น และเพื่ออำนวยความสะดวกแก่ผู้เข้าถึงหรือเข้าใช้บริการเครื่องหมายและข้อมูลที่ปรากฏบนเว็บไซต์ของสมาคม (“ผู้ใช้บริการ”) และไม่มีวัตถุประสงค์เพื่อแก้ไขสถานการณ์เฉพาะของบุคคลหรือนิติบุคคลใด ๆ โดยการเข้าถึงหรือการเข้าใช้เครื่องหมายและข้อมูล ผู้ใช้บริการได้อ่าน เข้าใจยอมรับและตกลงผูกพันตามข้อจำกัดความรับผิดดังนี้

1. สมาคมไม่ได้มีส่วนเกี่ยวข้องในการดำเนินการเรียกประชุมผู้ถือหุ้นกู้ หรือตรวจสอบว่าการจัดประชุมผู้ถือหุ้นกู้และการลงคะแนนเสียงเป็นไปอย่างถูกต้องและสอดคล้องกับกฎหมาย ระเบียบ ข้อสัญญา หลักเกณฑ์ที่ใช้บังคับกับการจัดประชุมผู้ถือหุ้นกู้ หรือรับรองมติของการประชุมผู้ถือหุ้นกู้

2. สมาคมขึ้นเครื่องหมายประกอบตราสารหนี้เพื่อแสดงเหตุการณ์สำคัญที่เกี่ยวข้องกับตราสารหนี้เท่านั้น โดยการขึ้นเครื่องหมายบางประเภทอาจเป็น “การแจ้งเตือนชั่วคราว” เพื่อให้ผู้ลงทุนทราบถึงเหตุการณ์ที่มี หรืออาจมีผลกระทบต่อความสามารถในการชำระหนี้ หรือการปฏิบัติตามข้อกำหนดสิทธิของผู้ออกตราสารหนี้ ทั้งนี้ สมาคมจะขึ้นเครื่องหมายดังกล่าวไว้ชั่วคราวเป็นระยะเวลาตามที่สมาคมกำหนด ก่อนจะปลดเครื่องหมายออก การปลดเครื่องหมายดังกล่าวไม่ได้หมายความว่าผู้ออกตราสารหนี้ได้แก้ไขเหตุการณ์นั้นแล้ว หรือว่าเหตุการณ์ดังกล่าวได้สิ้นสุดลง ผู้ลงทุนจึงควรติดตามข้อมูลเพิ่มเติมจากผู้ออกตราสารหนี้ หรือประกาศจากสำนักงานคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์ (สำนักงาน ก.ล.ต.) อย่างต่อเนื่อง

3. เครื่องหมายและข้อมูลที่ปรากฏในส่วนนี้ของเว็บไซต์สมาคม จะไม่ถูกตีความว่าเป็นรูปแบบของคำแนะนำใด ๆ และจะไม่ถูกใช้แทนคำแนะนำจากผู้เชี่ยวชาญที่เหมาะสมไม่ว่าจะเป็นผู้เชี่ยวชาญด้านกฎหมาย ด้านการเงิน ด้านภาษี ด้านบัญชี หรือด้านอื่น ๆ ที่เกี่ยวข้อง ผู้ใช้บริการควรใช้ทักษะและวิจารณญาณของตนเองในการตัดสินใจลงทุนหรือดำเนินการตามเครื่องหมายหรือข้อมูลและขอคำแนะนำจากผู้เชี่ยวชาญที่เหมาะสม
